Qualified Company Secretary with strong subsidiary management

About the Company & Role

An exciting and innovative FTSE 100 business with operations in over 60 countries globally. This newly created position will be responsible for leading subsidiary governance across the group, overseeing the efficient administration and statutory compliance of nearly 175 legal entities. You will work in a dynamic team and closely with an entrepreneurial Deputy Co Sec.

Responsibilities

  • Proven experience successfully executing or establishing subsidiary governance frameworks and strengthening existing governance processes and controls.

  • Oversee international affiliate governance, supporting corporate administration, document execution, signatory updates, notarisation/legalisation, and KYC requests.

  • Manage third ‑ party legal and corporate secretarial providers efficiently to support subsidiary compliance objectives.

  • Coordinate subsidiary board meetings, from preparation through to documenting and communicating outcomes.

  • Provide support for projects across the group including reorganisations, rationalisations and major transactions.

  • Advise senior stakeholders on best practices, work cross-functionally with various teams internally and liaise with key external contacts.

What you'll need to succeed

  • CGI (or equivalent) qualified with proven post-qualification experience in a corporate secretariat function.

  • Previous experience in a listed business or working in a listed environment through professional services roles.

  • Strong project management experience, with an ability to think strategically and commercially.

  • Good understanding of the Companies Act 2006 and all related regulations alongside significant company secretarial practices and procedures.
