We are partnering with an excellent FTSE‑listed organisation looking for a proactive and enthusiastic Deputy Company Secretary. As an industry leader, the business develops advanced electronic technologies that enable vital solutions across key sectors such as healthcare, aerospace and industrial automation.

Reporting directly to the Group General Counsel & Company Secretary, this role offers a high degree of independence within a close-knit and genuinely supportive legal team. You will be responsible for the provision and delivery of the secretariat function and providing high-quality company secretarial support to the Group General Counsel & Company Secretary, the PLC Board, the executive team, senior leadership, and the wider group.

You will advise on PLC/listed company compliance, the effective functioning of the PLC Board, PLC reporting, regulatory compliance and maintenance of Group subsidiary companies. The role will also support ancillary functions including share schemes, re-financing, acquisitions and disposals.

Responsibilities

PLC Matters

  • Support coordination of the Annual Report, including governance content, drafting key sections, proofreading and managing Auditor sign‑off.
  • Manage AGM logistics and shareholder documentation, working with Registrars, Mailing House and governance agencies.
  • Drafting and releasing standard RNS announcements.
  • Provide full Board and Committee support: circulate papers, draft agendas, prepare Co Sec papers, produce minutes and manage compliance for appointments and resignations.
  • Conduct technical research and advise the PLC Board on Companies Act, Listing Rules, DTRs, MAR and governance best practice.
  • Leading on regulatory requirements for PLC, e.g. maintaining insider lists, notification of closed periods, organising “conflict of interest” and “Board evaluation” reviews.
  • Significant day-to-day contact with the PLC Board, the ExCo and Senior Leadership Team, with scope for Board Committee exposure as secretary to a committee.
  • Lead shareholder‑facing activities, including dividend processes, shareholder enquiries and liaison with external providers.
Share Schemes
  • Manage the company’s issued share capital and share‑dilution calculations.
  • Monitor and maintain shareholding requirements for Executive Directors, ExCo and SLT.
  • Maintain award records for individuals holding LTIP, RSP, DSBP and Phantom awards.
  • Management of the vesting and exercising of grants at the appropriate time.
  • Work closely with HR on RemCo papers and approvals.
  • Administer the grant cycle of various awards.
  • Administer UK Sharesave and US ESPP scheme exercises while driving continuous improvement.
Subsidiary Matters
  • Statutory and corporate database management of all UK and international entities.
  • Lead on subsidiary accounts signing process and management of signing-off process.
  • Provide compliance guidance on group structure changes (mergers, disposals, acquisitions).
Advisory
  • Drive best‑practice governance by creating practical compliance solutions and fostering strong stakeholder relationships to positively shape governance behaviours across the business.
  • Monitor developments in share schemes, company law and governance to identify risks and opportunities, and collaborate with Legal and other functions to develop and implement solutions that keep pace with evolving requirements.
What you'll need to succeed
  • CGI qualification
  • Significant UK PLC experience, including advising on regulatory requirements, playing a key role in the Annual Report and AGM, and supporting global subsidiaries.
  • A pragmatic, calm and commercially‑focused approach to delivering high‑quality Company Secretarial support.
  • Strong interpersonal skills and the ability to build trusted relationships with stakeholders at all levels, both internally and externally.
  • A collaborative team player with a proactive, can‑do mindset and the ability to add value across the business.
