Your New Role
We’re seeking an experienced governance professional to join our client's Secretariat team in Cardiff as Assistant Company Secretary. In this pivotal role, you’ll support the Company Secretary in delivering high-quality secretariat services, ensuring compliance with legal, regulatory, and corporate governance obligations across the organisation.
Key responsibilities include:
  • Maintaining statutory registers and records for FCA Mutual Register and Companies House.
  • Advising on corporate governance matters, including the Building Societies Act and organisational rules.
  • Managing whistleblowing policy oversight and related procedures.
  • Planning and preparing for Board, subsidiary, and committee meetings; attending, taking accurate minutes, and tracking actions.
  • Supporting the AGM process and maintaining governance frameworks and key corporate documents.
  • Assisting with the administration of the organisation’s insurance programme.
What You’ll Need to Succeed
To excel in this role, you’ll bring:
  • Significant experience working at Executive and Board level.
  • Strong knowledge of corporate governance, regulatory requirements, company law, and building society law.
  • Proven ability to prepare agendas and produce accurate, high-quality minutes under tight deadlines.
  • Excellent interpersonal skills, with confidence to engage senior stakeholders and Board members.
  • High level of discretion, resilience, and sound judgment.
  • Strong organisational skills and IT proficiency (MS Word and Excel).
  • Ideally, Chartered Governance Institute (CGI) qualification or working towards it, or other relevant legal/governance qualifications.
